股权结构与企业R&D投入——来自中国混合所有制上市公司的证据

混合所有制的改革是国有企业改革的重要一步,股权结构是混合所有制改革的关键。以2013—2017年沪深两市241家国有“混改”制造业上市公司的面板数据作为研究样本,对在混合所有制改革的背景下股权结构、董事会权力配置对企业R&D投入之间的影响进行研究,分析混合所有制下企业股权结构对企业R&D投入的影响,从实证层面探索混改股权结构对企业R&D投入影响,并在引入董事会权力配置变量后,分析该变量对上述两者是否具有调节作用。研究表明,股权多样性、股权制衡度及股权集中度皆会影响企业R&D投入,股权多样性、股权制衡度能够带动企业R&D投入的提高,股权集中度对企业的R&D投入产生负面影响。     

A股上市公司股权结构对现金股利的影响

为了研究A股上市公司股权结构对现金股利的影响,采用回归分析模型从股权结构的股权集中度、股权制衡度、股权属性三方面对我国A股上市公司股利的主要影响因素进行梳理。结果表明,股权集中度与每股现金股利呈正相关关系;股权制衡度与每股现金股利负相关;不同的股权属性对现金股利影响各不相同。针对分析结果提出相应建议,期望这些建议能为公司股利分配政策的制定者提供帮助。     

股权结构与公司绩效的关系研究——基于2005-2014年A股上市公司的实证研究

本文以A股上市公司2005-2014年的面板数据为研究样本,运用回归分析法,以托宾Q值作为公司绩效的度量指标,实证分析上市公司股权结构与公司绩效的关系。结果表明:股权集中度与公司绩效呈显著的正U型关系;股权制衡度与公司绩效具有正相关的关系。     

制衡型股权结构抑制盈余管理有效吗？——来自我国上市公司的经验证据

本文采用股改后截止2006年样本数据研究了制衡型股权结构对盈余管理影响。研究发现,在制衡型股权结构样本中,上市公司股权集中度和股权制衡度与盈余管理之间呈现显著的负相关关系。同时还发现在制衡型股权结构样本中,国家股股东控制的上市公司相对于非国家股股东控制的上市公司而言,具有更明显的盈余管理。     

公司治理对财务困境影响的分析

文章检验了公司治理因素对中国上市公司财务困境的解释力与预测力.实证结果显示大股东持股比例、国家股比例及独立董事的比例与公司发生财务困境的可能性呈显著负相关,违规行为和管理者代理成本与公司财务困境的危险性呈显著正相关.但是,股权制衡度、国家控股地位、高管持股比例、董事会规模和CEO的两职合一对困境发生概率无显著影响.     

治理结构、研发投入与公司绩效 ——基于中小板信息业上市公司的实证分析

采用2012—2016年中小板信息技术行业上市公司面板数据,实证分析公司治理结构、研发投入对企业绩效的影响,重点讨论股权集中度、董事规模与研发投入的交互影响。研究表明,研发投入与股权集中度、独立董事比、董事规模、董事大会会议次数对绩效的影响显著为正;股权制衡、两职合一以及股权激励指标没有通过显著性检验;股权集中度与研发投入的交互项为负但显著性不明显;董事规模与研发投入的交互项显著为负。股权集中度应适当优化;防止董事会规模的过度扩大;规范独立董事制度,发挥董事的监督和激励职能。     

建筑企业价值影响因素的实证分析

以我国建筑业上市公司为研究样本,分析影响企业价值的因素,实证结果表明,建筑企业价值和资产规模呈U型关系;和资本结构显著负相关;和经营能力、盈利能力显著正相关;和股权集中度、股权激励、研发强度的正相关关系均不显著。     

政治关联、公司治理与研发创新——基于高端装备制造业上市公司的面板数据

以2008~2013年中国高端装备制造业上市公司为样本,对政治关联、公司治理与研发创新之间的关系进行实证研究。股权制衡、董事会独立性和高管激励对企业研发创新有显著的促进作用,但股权的过于集中不利于企业的研发创新;政治关联会直接或间接地影响研发创新效率,且具有政治关联的企业能够有效减弱股权过分集中对研发创新的抑制作用,增强董事会独立性和股权制衡对研发创新有促进作用。

股权结构作为公司的基础,在研究公司的治理、公司绩效和公司信息质量等多方面内容时都离不开公司股权结构这一重要的内容.自2009年创业板在深交所上市以来受到了非常多的关注,本文通过对创业板上市公司股权结构研究,分析出创业板上市公司的股权结构与主板相比较具有第一大股东持股比例较低,股权集中度高,股权制衡度高以及高管持股比例较高这四个特点,此结论为相关创业板上市公司治理等领域的后续研究提供理论基础.

依据二季度末各家基金公司的资产管理规模数据,对基金行业各家公司股权价值进行全面重估:中国基金全行业60家公司合计股权价值为1293.45亿元。其中,华夏基金、博时基金、易方达基金位列行业三甲。而去年末固定收益类产品所占比重较大的基金公司股权价值有所下降。部分上市公司持有基金管理公司股权,这将带来一定的收益。尤其是优质的基金公司股权,相对于上市公司的投资成本而言,增值幅度十分可观。
