知识型公司利益相关者共同治理模式探讨

在知识型公司中,股东已经不再单纯依靠物质资本的所有权独享公司的剩余权,人力资本也凭借其产权特性参与公司的剩余利润分配,从而使得知识型公司的治理向物质资本所有者与人力资本所有者共同治理的方向发展,这一变化对现行的法律、法规提出了严峻的挑战,本文主要根据知识型公司的特点研究其治理难点、模式设计及治理建议。

On the mutual governance of stakeholders in knowledge corporate

Shareholders tends to be no longer enjoying the surplus profit alone with their ownership of material capital, especially in knowledge corporate, since human capital shows more and more strong power in requesting the assignment of surplus profit. Accordingly, mutual governance carried by different stakeholders, including not only traditional shareholders but also non-material capital owners composed mainly of human capital owners, should be a rational governance mode in knowledge corporate. This change becomes a great challenge to present law and regulations related to corporate governance. So the possible difficulties and corresponding structure design for knowledge corporate are discussed thoroughly in this thesis.
