我国有限合伙的立法完善

有限合伙起源于康曼达契约,这种企业组织形态具有独特的价值,它可以完善企业的责任形式;有利于风险投资企业的发展,其形式上是风险投资企业的一种组织方式,但实质上是企业治理制度的创新,是完善风险投资企业治理结构的必然要求。我国立法虽然规定了有限合伙企业形式,但在具体立法模式、合伙人的数量、有限合伙人的权利义务等方面,仍有进一步完善的余地。

The Legislation Perfection of Chinese Limited Cooperation

Limited cooperation forms origin from Commenda,which is an organization form of enterprises with unique value.It may consummate the responsibility form of enterprises;it is advantageous to the development of venture enterprises.In form it is one organization way of the venture enterprises,but in essence it is the system innovation of enterprises' administration and the necessity of consummating the administrative organization of venture enterprises.Although Chinese legislation has stipulated the form of limited cooperative enterprise,there is still a long way to go in such aspects as concrete legislation pattern,quantity of partners and the rights and duties of limited partners and so on.
