| 摘 要： | 分析了我国上市公司股权结构特征及治理绩效，指出上市公司治理存在缺陷的根本原因在于我国上市公司不满足大股东控制股权结构下有效治理的两个前提条件，为了提高上市公司的治理效率，必须对股权结构进行优化，并指出股权结构优化的方向是建立一种相互制衡的股权结构。

| Abstract: | This paper analyzes the characteristic of ownership structure and governance performance of listed companies in China.It is found that the root reason that results in this change is that listed companies in China don't meet the two essential prerequisites for efficient governance under the control of large shareholder. We must optimize ownership structure to improve the performance of listed companies.This paper argues that the optimizing direction of ownership structure is building balancing ownership structure. |
