我国股东派生诉讼相关规定的评述及完善建议

股东派生诉讼是公司法赋予公司股东维护公司合法权益的重要手段。我国公司法2005年修正后增加了派生诉讼的相关规定,该规定在原告股东的资格、被告的范围和诉讼的前置程序等方面既充分吸取了其他国家的优点,又具有中国特色,但我国新公司法对派生诉讼原告的范围规定较窄,对诉讼时效、诉讼中止和举证责任等方面没有作出明确的规定,目前应主要通过司法解释的形式逐步补充和完善,在民事诉讼法修改时也需增加派生诉讼的相关制度性规定。

The Narration and Consummate Suggestion on the Correlation Stipulation of Shareholders' Derivative Suit in China

The Shareholders' Derivative Suit is the important method that the Corporation Law entrusts the shareholder to defend the company legitimate rights and interests.After our Corporation Law was revised in 2005,it increased the derivation lawsuit correlation stipulation,which includes the plaintiff shareholder's qualifications,defendant's scope,lawsuit aspect and pretage procedure.All of these fully absorb other national merits,and have the Chinese characteristics,but in plaintiff's scope,the limitation of action and evidence presented responsibility;our corporation law still has many deficiency and need supplement gradually and the consummation also should increase the derivation lawsuit in the Civil Procedure Law.
