浅论UCC5与UCP的关系

作为国际贸易结算的主要手段，UCP已经被国际贸易界首肯，在中美贸易中却未必如此。因为美国不仅是一个多法域的国家，而且依照《美国商法典》，UCC5在许多情况下要优先适用于UCP。所以，在中美贸易中，如果当事人欲适用UCP，除了必须在信用证中做出明确约定外，还须进一步明确美国各州法律的适用情况。即使如此，在个别情形下还不能排除UCC5的强制适用。
