关于完善我国公司资本制度的法经济学分析

商法的基本价值取向是效益优先兼顾公平,这一原则应当贯穿于包括公司制度在内的整个商法制度。本文沿着这一价值路径,从效益、公平等不同维度对现存的公司资本制度进行价值考量和利益平衡,对公司资本制度进行了检讨和评判。如何根据这一价值指引重构我国的公司资本制度应该成为公司法研究的一个重要课题。虽然本文并未对这一课题给以结论性的回答,但却为问题的解答提供了一个理论支撑点,即公司资本的选择与重构既要符合商法的基本价值指引和公司法的基本诉求,同时还要适合制度存在的外部环境。

Analysis of Perfecting the Capital System of Chinese Corporate

The basic value orientation of commercial law is the principle that give priority to efficiency with due consideration to fairness, which should be penetrated into the whole commercial law system. From the two aspects of efficiency and fairness, the paper analyzed and evaluated the existing capital system of corporation. Obviously, it will be a key theme to reconstruct Chinese corporate capital system. And a view was pointed out in the paper that the choice and reconstruction of corporate capital should be coherent with not only basic direction of commercial law and basic appeal of corporate law, but also the external condition of system existing.
