| 摘 要： | 本文从社会镶嵌的角度,探讨连锁董事和企业间的连锁董事网对公司治理及企业绩效的潜在作用机制.企业的连锁董事网络作用的发挥主要通过三个机制:社会监督、网络寻租和注重集体忽视个体.最后,文章讨论了未来潜在的研究方向.

| Abstract: | From a social embeddedness perspective,this paper analyzes the potential influence of interlocking directorates and corporate network of directorship interlocks on corporate governance and corporate performance.The corporate interlock network exerts its influence mainly by three functioning mechanisms: social supervision,network rent seeking and collective interests overriding individual interests.Finally,the paper also addresses the implication of this research and future potential research directions. |
