国际托收法律关系的传统理论不能为委托人对代收行的诉权提供理论支持,而不能适应实践的需要。新理论中主要有间接代理说和复代理说,两说都为委托人对代收行的诉权提供理论支持,但以复代理理论为基础,认定委托人与代收行的法律关系为被代理人与复代理人之间的关系更符合托收的实际以及URC522的规定和精神。

高校治理制度是规范高校各利益主体经济行为的一系列制度安排,具体包括委托人制度安排、委托———代理制度安排和代理人制度安排。首先,本文理论阐释了治理制度与高校效率的关系,指出三个方面的治理制度安排共同作用并影响高校效率水平的高低。然后,具体从委托人制度安排、委托-代理制度安排和代理人制度安排三个方面分析了治理制度对我国高校效率的作用机理。最后,提出了重构我国高校治理制度安排的有关对策。

本文在吸收其他文献的基础上 ,试图把委托代理理论框架引入到对中国公立大学治理结构和管理绩效的分析上来。在公立大学多级委托代理关系的链条上 ,第一层级代理人的行为选择与委托代理关系中隐形的激励契约密切相关。公立大学的产权关系与它特殊的目标、功能和使命 ,对代理成本的度量产生十分重要的影响。在某一环节上 ,委托人与代理人的非正常合作会改变正常情况下委托人与代理人目标函数不一致的现象 ,且代理人若不在正常的市场上依照市场机制进行挑选 ,大学的运行成本就会居高不下。解决我国公立大学中的委托—代理问题 ,需要重新构建合理的委托代理关系 ,这方面有赖于大学治理结构的突破 ,也有赖于政府新的制度供给。
