上市公司郑百文在重组过程中，为使公司流通股股东所持股份的50％能够无偿过户到三联集团名下，在其召开的临时股东大会上通过了修改公司章程的议案。在章程中增加一款“股东大会在作出某项重大决议，需要每一股东表态时，同意的股东可采用默示的意思表示方式，反对的股东需作出明示的意思表示”。本文从现行法律规定和法理两个角度对这一条款进行了分析，最后得出其于法无据、于理不合的结论。

A critical review of elaboration theory

In this article the authors examine elaboration theory (ET), a model for sequencing and organizing courses which was developed by Charles Reigeluth and associates in the late 1970s. The purpose of the article is to offer a critique of ET based on recent cognitive research and to offer suggestions for updating the model to reflect new knowledge.Commentary by Charles Reigeluth follows this article.     

Partnership and recognition in action research: understanding the practices and practice architectures for participation and change

Abstract

This article is the first and introductory article of this special issue. The article gives a societist account of the principles of partnership and recognition as they are encountered and experienced in practices in action research. A societist account of practices requires a social theory for understanding practices. Therefore, the article utilises the resources of a contemporary form of practice theory, the theory of practice architectures and ecologies of practices, to lay down the foundation for conceptualising partnerships and recognition. Specifically, it introduces the theory as a foundation for the other articles in this special issue which, as a collective, examine the cultural-discursive, material-economic and social-political arrangements that enable and constrain particular kinds of partnerships and recognition that exist or evolve in site-based education development. Additionally, the article presents theoretical considerations concerning the principles of partnership and recognition that emerge as enmeshments of one another which mutually form, reform and transform practices in action research.

Intuitive ethics: Understanding and critiquing the role of intuition in ethical decisions

This article examines the role intuition plays in forming ethical decisions. First, the article reviews examples of intuitive ethics in professional communication research. Second, the article suggests that intuition is the naturalization of dominant cultural values and beliefs. Third, the article considers naturalized values within institutions and organizations, demonstrating how naturalized values can lead to unquestioned and oppressive institutional practices. Ethical inquiry, according to this view, investigates and denaturalizes those assumptions that are carried forth by intuition. Fourth, the article offers a pedagogical example of this theory, demonstrating how a group of business communication students investigated the intuitive practices of a non‐profit organization. The article concludes by suggesting the value that a “critique of intuition” may have for the teaching, study, and practice of professional ethics.

This article explores the implications of the knowledge society for education and education systems. It focuses on how education systems in Asia are contributing to the development and sustainability of the knowledge society through creating powerful professional learning communities. The article explores how professional collaboration, at scale, is being used to generate social capital in order to promote educational transformation and improvement. The article draws upon a range of theoretical perspectives to examine how professional learning communities are contributing to educational improvement and the construction of new knowledge. The article concludes by arguing that disciplined, collective and inter-dependent learning is critical for the knowledge society to be sustained.

Classes in themselves and for themselves: the practice of monitorial education for different social classes in Sweden, 1820−1843

This article investigates the monitorial system of education in Sweden between 1820 and 1843. In contrast to previous research, which has emphasised monitorial education as a method for disciplining poor children, this article compares the use of the method in schools for the working classes and in academic schools. Using concepts such as segmentation and discipline, the article analyses sources from 30 schools for the working classes and 40 academic schools to show how monitorial education was used in different schools. The mechanical exercises used in schools for the working classes were not implemented in the academic schools, where the role of monitors was more that of a teacher than a monitor. As this article demonstrates, these distinctions correspond to the different purposes of the schools. The schools for the working classes were directed towards instilling obedience, while the academic schools sought to awaken self-activity.     

The use of email interviewing as a qualitative method of inquiry in educational research

This article argues for the potential that email interviewing has as a qualitative method in educational research. The article draws on research that uses email as a way of generating online narratives in order to understand how academics construct their identities. In doing so, the article considers the challenges that email interviewing poses for researchers who might wish to use the method as a way of studying and understanding academics' lives, particularly the nature of ‘presentation’ and ‘performance’ that takes place with/in email narratives. Nonetheless, despite these challenges, the article concludes by recognising the possibilities the method has for increasing reflexivity by providing both the time and space for academics to construct, reflect upon and learn from their stories of experience.
