我国上市公司中“郑百”“银广夏”等事件频频曝光后，为完善公司治理结构，中国证监会颁布了《关于在上市公司建立独立董事的指导意见》，备受推崇的英美独立董事制度正式引入我国。但英美独立董事制度产生的根本原因在于，单层公司组织机构模式下产生的“内部人”控制问题与我国上市公司双层管理模式下产生的“内部人”控制并不相同，单纯引入独立董事制度并不能解决公司治理中存在的问题。而应从根本上解决“一股独大”局面，并对现有的监事会职能加以细化、强化，以完善法人治理结构。
