论公司董事、监事、高级管理人员的勤勉义务

2005年新修订的《公司法》第148条规定：“董事、监事、高级管理人员应当遵守法律、行政法规和公司章程,对公司负有忠实义务和勤勉义务。”但关于勤勉义务的含义、内容与衡量标准、违反勤勉义务之责任等问题并未做出明确的具体说明,这就使得该规定在司法实践中缺乏可操作性。文章拟针对以上问题作初步的探讨,希望对公司法的不断完善尽一些义务。     

我国公司董事忠实义务探讨

为了更好地保护公司及股东的利益,各国立法均不断强化董事的忠实义务。我国《公司法》对董事的忠实义务也作了规定,但不够完善,因此,在借鉴外国立法的基础上,针对董事自我交易禁止、禁止篡夺公司机会及竞业禁止等忠实义务进行探讨,提出些许完善之策。     

对完善公司董事权利、义务及责任配置问题的思考

《中华人民共和国公司法》仅对董事的忠实义务作出了原则规定，而与之密切联系的注意义务则缺乏相应的反映，有关法律责任的规定更是无从谈起。为了适应发展的需要，督促董事勤勉工作，有效维护公司、股东及债权人的利益，借鉴国外公司立法及司法判例完善这一制度就成了必然的选择。     

我国《公司法》中信义义务的制度缺陷

信义义务制度在公司利益相关者之间冲突关系的平衡中居于核心地位,其制度内涵伴随着解决公司代理问题的实际需求不断演化:义务范围从忠实义务发展到忠实义务和注意义务并重;履行义务的判断标准因经营判断规则的确立而更加符合实际需求;义务主体由董事逐渐延伸至控制股东,相应的权利方也在向小股东和公司债权人方面扩展.相比之下,我国《公司法》的相关规定存在以下缺陷:忠实义务与注意义务的规定明显失衡;忽视控股股东对小股东的信义义务;忽视董事对公司债权人的信义义务;忽视商业判断规则的引入和运用.这在一定程度上削弱了司法救济在公司治理中的作用,影响了公司治理水平的提升.     

公司董事勤勉义务的判断标准

在“董事会中心主义”的驱动下,董事职权也越来越大,现代公司面临股东与董事利益难以平衡的困境,基于此,强化董事的义务不失为一种解决办法。《公司法》虽已规定董事负有勤勉义务,但是并没有对勤勉义务的判断标准做出进一步规定,导致实践中对勤勉义务的判断过于散乱与模糊,很难落实董事违反此义务的责任。唯有在法律中以客观标准为基调,辅之以章程的细化与商业判断规则的补充,才能在激励与约束之间做到平衡,激发董事的热情与创造力,为公司利益最大化高效决策。     

论公司资本筹集阶段发起人和董事的信义义务

在公司资本筹集过程中,发起人和董事发挥着重要作用,应对公司和股东承担信义义务。尽管大陆法系与英美法系在有关发起人和董事的信义义务的规定上存在一些差别,但却有很多一致或相似之处。英美法中发起人负有不得谋取秘密利益和完全信息披露的义务;大陆法中,发起人负有忠实、勤勉、谨慎的义务。董事应正确履行披露信息义务,在非货币资产评估中履行忠实、注意、审慎义务。我国需结合本国实际,借鉴国外法律,对《公司法》中关于这方面的规定进行修改、补充和完善。     

公司董事责任保险法律问题探究

2005年新《公司法》的颁布,加重了董事责任和义务,一方面保证了公司董事、经理在进行决策、经营的过程中,更能勤勉自律;另一方面也会压抑公司董事、经理的创新性,在具体业务操作中会影响到其才智的发挥。因此加大力度,引入董事责任保险制度势在必行。董事责任保险能合理地降低因可以理解的经营过失而导致的责任,发挥董事经营的积极性和创新精神。     

股份有限公司董事对第三人的损害赔偿责任

董事因故意或者重大过失对第三人的损害赔偿责任,我国《公司法》对此缺乏一般性规定,这对于未上市的股份公司的第三人利益保护是非常不利的。分析我国股份公司董事对第三人赔偿责任立法现状及其不足,认为应当通过公司法做出诸如股份公司董事对包括债权人在内的第三人损害赔偿责任的原则性规定、区分不同种类董事的赔偿责任以及改进董事责任保险制度、完善股东诉讼机制和导入债权人派生诉讼制度等措施来适度强化董事民事责任,保护第三人利益,实现公司相关者利益的合理平衡,最终促进经济发展。

Inequalities for inscribed simplexes

The problem on the geometrc inequalities involving an n-dimensional simplex and its inscribed simplex is studied. Aninequality is established, which reveals that the difference between the squared circumradius of the n-dimensional simplex andthe squared distance between its circumcenter and barycenter times the squared circumradius of its inscribed simplex is not lessthan the 2(n-1)th power of n times its squared inradius, and is equal to when the simplex is regular and its inscribed siplex is atangent point one. Deduction from this inequality reaches a generalization of n-dimensional Euler inequality indicating that thecircumradius of the simplex is not less than the n-fold inradius. Another inequality is derived to present the relationship betweenthe circumradius of the n-dimensional simplex and the circumradius and inradius of its pedal simplex.

Virtual reality approach for 3D large model browsing on web site

Using virtual reality for interactive design gives a designer an intuitive vision of a design and allows the designer to achieve a viable, optimal solution in a timely manner. The article discusses the process of making the Virtual Reality System of the Humble Administrator＇s Garden. Translating building data to the Virtual Reality Modeling Language （VRML） is by far unsatisfactory. This creates a challenge for computer designers to do optimization to meet requirements. Five different approaches to optimize models have been presented in this paper. The other methods are to optimize VRML and to reduce the file size. This is done by keeping polygon counts to a minimum and by applying such techniques as object culling and level-ofdetail switching.
