我国《公司法》对公司债权人保护制度的完善

作为公司利益相关者之一的公司债权人,公司制度设计时应保护其合法的利益,然而在我国《公司法》中对公司债权人保护有许多不足,公司法中更侧重对公司股东利益的保护,为此,应从5个方面对公司债权人保护制度予以完善,具体包括公司债权人参与公司治理、公司债权人会议制度、公司董事对公司债权人承担信义义务、公司债权人派生诉讼制度的建立、公司法人人格否认制度的完善。     

我国公司治理结构的缺陷与完善——以公司社会责任为视角

利益相关者理论认为．公司是由物资资本所有者、人力资本所有者以及债权人等利益相关者的一系列契约的组合．公司应当在公司治理结构中引入利益相关者与股东共治公司相关事务．以增进各利益相关者之共同利益,实现公司社会责任。从公司社会责任的角度考察我国公司治理结构,不难发现我国公司治理结构存在债权人在公司组织机构中缺位、劳动者在公司组织机构中式微、对公司利益相关者的信息披露机制不健全及诉讼救济途径缺失等问题,因此．建立与完善与公司社会责任相适应的现代公司治理结构,是提升我国公司治理水平的关键。

债权人是公司重要的利益相关者之一。随着股东至上主义理论缺陷的暴露,债权人参与公司治理的问题受到越来越多的关注。从债权人参与公司治理的理论基础—利益相关者理论出发,探索债权人参与公司治理的必要性,提出债权人参与公司治理的路径。

利益相关者治理是一整套法律、文化和制度安排 ,这些安排决定了企业的目标和行为 ,以及如何保证企业的利益相关者如债权人、职工、消费者、政府、社区等的利益不会受到侵害 ,风险和收益如何在不同治理主体之间分配等。企业理论越来越重视利益相关者参与公司治理的作用 ,尤其是职工作为人力资本的利益相关者参与公司治理的研究

董事因故意或者重大过失对第三人的损害赔偿责任,我国《公司法》对此缺乏一般性规定,这对于未上市的股份公司的第三人利益保护是非常不利的。分析我国股份公司董事对第三人赔偿责任立法现状及其不足,认为应当通过公司法做出诸如股份公司董事对包括债权人在内的第三人损害赔偿责任的原则性规定、区分不同种类董事的赔偿责任以及改进董事责任保险制度、完善股东诉讼机制和导入债权人派生诉讼制度等措施来适度强化董事民事责任,保护第三人利益,实现公司相关者利益的合理平衡,最终促进经济发展。
