中国上市公司内部人控制问题的成因及对策

我国上市公司形成“内部人控制”的原因是上市公司大多由国有企业改制而采，且国有股居于绝对或相对控股的地位。应从改善上市公司股权结构、规范公司治理结构、建立激励与约束机制、培养机构投资者、发挥银行等债权人的监督作用等方面来防止问题的发生。     

我国机构投资者积极参与公司治理的障碍

学术界普遍认为机构投资者有动力和能力积极参与公司的治理。但是上市公司与生俱来的缺乏成长性、“一股独大”等问题 ,机构投资者自身的风险规避、“搭便车”等问题成为机构投资者积极参与公司治理的障碍。因此提高上市公司的持续发展能力 ,规范机构投资者的行为成为必须。     

机构投资者参与公司治理的传导途径研究

机构投资者制度是英美等发达国家重要的公司治理机制之一,机构投资者积极主动地监督公司经营管理缓解了公司治理中的代理问题。在本世纪初,中国证监会也提出了大力发展机构投资者的思路。然而,已有制度引进的经验教训表明,中国上市公司的治理问题与西方发达国家是不同的,有两个重要问题必须予以回答:在西方发达国家制度背景下建立起来的机构投资者制度,在中国是否能有效发挥作用?基于中国的特殊制度背景,机构投资者制度成功的条件和机制是什么?利用中国上市公司数据,采用结构方程模型对机构投资者参与公司治理的传导途径进行的实证分析表明,中国的机构投资者参与公司治理不能直接促进公司业绩,而是通过抑制上市公司的控股股东掏空行为,间接地提升公司业绩。上市公司投资者保护执行行为在此发挥了中介作用,有效地约束了上市公司控股股东的掏空行为。但是,机构投资者对高管层过度的在职消费和薪酬操纵等代理行为不能发挥治理作用。其政策含义是,加强投资者保护执行力度以及完善机构投资者本身的治理机制,有利于上市公司治理的改善。

作为公司治理机制中重要的外部治理机制,机构投资者所发挥的作用引起了学术界、监管者和政策决定者的极大兴趣.但机构投资者对管理层的盈余管理行为的监督作用是否真正达到人们预期的效果,至今还没有一个统一的结论.本文构建了机构投资者与企业管理当局的博弈模型,通过分析发现,当机构投资者持股比例很小时,没有意愿监督管理者的盈余管理行为,当机构投资者持股比例较大时,才有可能积极监督.本文最后对如何减少我国上市公司管理层盈余管理行为提出了建议.

我国上市公司治理结构尽管经历了不断规范和完善的发展过程,但在治理结构方面仍存在着较多问题,在分析相关原因并结合我国国情的基础上,提出了优化股权结构,积极发展机构投资者、增强董事会功能,有效避免内部人控制、完善监事会制度,强化监事会监督职能及建立健全有效的激励和约柬机制等完善我国上市公司治理结构的对策。

机构投资者持股能抑制超能力派现吗

选取2007～2009年沪深A股上市公司为研究样本,在将机构投资者划分为压力敏感型和压力抵制型的基础上,从超能力派现视角研究不同类型机构投资者的治理效应。研究结果表明：机构投资者持股对上市公司是否超能力派现具有重要影响,机构投资者持股比例越高,超能力派现的可能性就越小,而且机构投资者在构建投资组合时会避免投资超能力派现的上市公司。压力抵制型机构投资者持股降低了超能力派现的可能性,然而压力敏感型机构投资者并没有降低超能力派现发生的可能性。
