对完善独立董事"独立性"的思考

独立董事在中国的出现有特定的社会条件,在目前一股独大的情况下,中国上市公司采用的独立董事制度有其存在的必要性,它为公司治理结构的完善提出了新思路;独立董事的独立性是独立董事制度的核心和灵魂;对任职资格和选拔机制的确认决定独立董事初始身份的独立性,而独立董事在董事会中所占的比例以及任期、薪酬机制,则是其独立性是否延续的保证。     

独立董事制度对内部控制质量的影响机理研究——一项来自苏南民营上市公司的经验证据

独立董事制度实质上是通过人为介入独立第三方来平衡和监督管理层权力的一种制度。本文以民营经济比较发达的苏南地区的经验数据为样本,通过对该地区民营上市公司独立董事的比例、人员背景、薪酬、名誉以及更迭次数等方面的研究,找出影响独立董事制度发挥作用的影响因素。通过数据对模型的检验,发现独立董事制度要在苏南民营上市公司中发挥作用,必须要严格独立董事的任职资格,提高独立董事的入职门槛,建立独董市场;要引进声誉机制,要让独立董事更有动力地完成自己应尽的责任;改进报酬激励制度,让独立董事评价自己的工作,并体现相应的报酬。
