债务融资对企业过度投资约束的分析

企业融资行为的差别将对企业投资决策和效率产生重大影响。有关研究表明我国上市企业偏好股权融资并存在股权融资使用效率偏低。通过简单的模型分析出股权融资和债务融资是如何影响企业的投资决策,进而得出债务融资虽然不能完全消除企业过度投资的行为,但是它能提高企业的投资决策点,从而在抑制企业过度投资和非效率投资方面发挥着作用。并对如何促使债务融资发挥以上作用进行了初步探讨。

论有限责任公司的债权人保护——以公司债权人介入公司治理的自我救济为导向

传统有限责任公司制度对债权人保护具有间接性,存在反射性利益保护的局限,其根本原因在于忽视公司债权人契约性权力的控制权配置可能。借助对债权人介入公司治理的契约性权力的合理性分析,可以清楚地揭示公司控制权的动态结构。基于状态依存所有权理论生发的相机治理理论,通过对不同经营状态下剩余控制权应然归属的确认,为债权人参与公司治理提供了正当理据。据此,公司法框架下的债权人介入行使控制权的具体路径可以表述为：（1）明确规定债权人与公司有关控制权合同条款的合理性;（2）建立普遍的公司债权人会议制度;（3）建立适合的监督履约机制;（4）明确规定公司濒临或处于破产阶段时的债转股制度。     

Pupil participation and the home–school relationship

Schools are required to develop policies and practices in line with the principles of both partnership with parents and pupil participation. However, there is increasing recognition of the potential tensions that may exist between these two principles. This paper reports on a study that aimed to explore the question of how schools might develop their home–school relationships in ways that enhance rather than constrain pupil participation. It focuses on the perspectives of children aged 6 to 16 years (with and without special educational needs), parents and teachers concerning children's involvement in decision-making at home and at school, and their participation within the home–school relationship. The findings highlight the need for schools to develop a coherent view of what active participation means for children and a vocabulary to communicate about this not only with pupils and staff across the whole school, but also with parents. They demonstrate that there is scope for two-way support between parents and teachers in relation to the promotion of children's involvement in decision-making both at home and at school. Further, they illustrate the complex and evolving three-way partnership between parent–child–teacher that is central to the home–school relationship. While it is acknowledged that children may rightly wish to keep a distance between aspects of home and school life, it is argued that there is a need for schools to give explicit consideration to the place of pupil participation within the home–school relationship.     

Defining the family: towards a critical framework for families of children with disabilities

ABSTRACT

Family‐centred approaches are widely recognized internationally as the most ecologically appropriate way of working with families of children with disabilities. Pivotal in this approach is its focus upon the needs of the whole family, rather than only the needs of the child (with a disability). It places a significant emphasis on flexible and responsive transdisciplinary service delivery and upon parent choice and decision‐making. For the family‐centred approach to become truly effective, then, we must define what constitutes a family. Or rather ask families how they define themselves. Alongside an exploration of traditional and non‐traditional family roles, this paper challenges stereotypical notions of the family, and seeks to establish the family as the core element in any service team.     

论我国涉外产品责任法律制度的完善

随着我国加入WTO，涉外产品责任纠纷日益引起人们的重视。然而，我国落后的产品责任法律制度并不能满足司法实践的需要。本文从实体法与冲突法两个角度提出了完善我国涉外产品责任法制的建议，并通过分析指出，我国加入《上产品责任法律适用公约》应是各方面条件均为成熟之时。

凯瑟琳·曼斯菲尔德（Katherine Manthfield,1888—1923）是二十世纪初活跃于英国文坛的女性短篇小说家,她的许多作品都表达了她对于女性问题的思考。在《莳萝泡菜》中,她采用女主人公薇拉的视角,从女性的角度叙事,对现代女性孤独感和幻灭感这一主题进行了揭示和探索。本文试图通过分析《莳萝泡菜》中的女性视角的叙述手法来进一步深化对该小说主题的理解。     

利益相关者导向的二级学院组织治理研究

从利益相关者的视角,在对二级学院利益相关者界定的基础上对其进行识别和价值期望分析;探索高校二级学院组织管理的创新,构建了利益相关者共同参与的管理模式;提出二级学院在协调利益相关者关系时应紧紧依据利益相关者在组织中利益诉求的不同及其对组织决策影响程度的大小,建立以共同利益为基础的差异化合作伙伴关系。     

侵权责任归责原则的经济分析

法律的主要功能在于禁恶,并提供正面激励,使人们积极守法。侵权责任归责原则的适用可以有效的改变经济人的成本-收益结构,使经济人不因侵权而获利,不因受损而得不到赔偿,从而激励经济人作出遵循法律的选择。侵权责任原则的适用实际上是通过侵权双方当事人的责任的分配实现社会公平和最大效益。     

试论高校图书馆社会化服务的有限开放

阐述了高校图书馆开展社会化服务的紧迫性和现实状况。提出目前高校图书馆实行完全社会化服务的条件还不具备,并从高校图书馆、校内读者、社会读者以及公共图书馆四个角度分析,认为目前高校图书馆社会化服务适宜实行有限开放。
