| 摘 要： | 美国的机构投资的发展出现了一种新的趋势，即它们已经和正在以积极的行为参与到其持股的上市公司中来，这成为解决现代公司代理问题的新形式和机构投资利益最大化的新需要，它有利于提高公司绩效、稳定市场和保护中小投资利益，也为中国机构投资的发展带来新的启示。

The Legal Analysis of the Positive Behavior of Institution Investors |

| Abstract: | There is a new trend of the development of the institution investors in the United States.They are in positive behavior to the coporate govenance,which helps resolve the the problem of acting for in modern companys and maximize the benefits of the institution investors,and exalts company management,stability of the market and the protecting of the small investor benefits,and also brings new enlightenment for the development of Chinese organization investors. |
