| 摘 要： | 通过对独立董事制度的分析,阐述了独立董事的概念、特点、职业要求,以及这一制度在我国上市公司治理与发展中的积极意义.在对我国独立董事制度沿革进行回顾的基础上,指出了在目前独立董事制度实践中存在的一些问题,并提出了解决问题的相应对策.
