| 摘 要： | 现代公司最大的特征是所有权与控制权的分离。因此,为保证投资人利益最大化,必须对拥有控制权的董事会进行强力监督。本文结合公司治理理论基础和公司治理实践中的问题,针对董事会权力的膨胀和监事会力量的疲软,提出在我国当前《公司法》中应当加强监事会制度,以及如何完善这一制度。
