| 摘 要： | 阐述股权分置改革的根本目的在于强化公司治理,保护中小股东利益。以博弈论为分析工具,在理性经济人假设下,针对股东大会通过违法决议提起诉讼的问题,建立起大股东与中小股东之间的两方博弈模型,通过纳什均衡进行求解,给出各参数变量的政策含义。最后提出相应的政策建议,包括完善和修订法律制度,推进股权分置改革等。

| Abstract: | The ultimate purpose of stock-equity's reform is to enhance corporate governance and to protect the interest of little and middle shareholders.By using the game theory,this article analyzes and discusses the problems about bringing a lawsuit against the illegal resolution of the shareholder's conference.It also proposes revising and perfecting current shareholder's lawsuit right and improving the stock-equity's reform. |
