健全和完善公司法人治理结构的思考

公司法人治理结构是公司制的核心，当前多数企业法人治理结构不健全不完善，已成为影响企业经济发展的关键因素。为此，必须充分发挥董事会的科学决策与监控功能，充分发挥监事会的监督约束功能，充分发挥作为权力机构的股东大会的把关与民主监督功能，以及建立三机构相互的制衡机制，从而形成各负其责，相互协调，高效运转，有效制衡的科学管理机制。

The structure of artificial person administering corporation is the core of corporation institution,but at present, most enterprises and businesses do not have a sound, perfect composition of artificial person running enterprises and this, as a result, has become the critical factor that interferes with the economic development of enterprises. So it is important to establish a scientific management mechanism which guarantees each member to attend his or her own duties, corrdinate each other, work most efficiently and check and restrain each other effectively.This, however, only results from the establishment of a three-mechanisms- reciprocally-checking mechanism in other to bring into am play the function of the board of directors in scientific decision-making and supervising,that of the board of supervisors in superintending and keeping within bounds, and that of the gereral shareholder meeting, as the organs of power, in making checks and democratically supervising.
