| 摘 要： | "权力机构"是现行公司法文本中的重要概念.<公司法>"权力机构"的规定是对股东(大)会性质和地位的确认.股东(大)会的性质和地位与股东(大)会的特点密切相关.对股东(大)会性质和地位"权力机构"的归属,实际后果是内涵模糊、界限不清,未来需要在公司法文本中对"权力机构"的使用给予改进.
