| 摘 要： | 独立董事必须具有独立判断的可能。独立董事具有经济利益的需要,受制于管理层,缺乏足够的履行职责的动力。在我国双层公司治理结构制度下,引入独立董事制度,要解决是要控制还是要效益的指导思想等问题。

| Abstract: | Born and developed under the basis of English-American legal system, the independent Directors System is an effective remedy for the corporate government in our country. Highly praised as a perfect type, is it still the model we are seeking after Enron and Worldcom Scandals? This paper points out the other side of the Independent Directors System, criticizing the independent directors are not the congenial representatives of shareholders. |
