| 摘 要： | 针对国有改革过程中有法不依的情况，分析了国有企业改革中有法不依的原因，探讨了相关的治理对策，对完善立法应当重点解决好的若干问题进行了研究，认为：必须解决好国企（国有控股公司）改革有法不依的立法缺太大的问题，建立依法行政，依法治企的体制，进一步严格执法；增强法制的宏观和微观调控能力，为顺利推进国企改革与发展铺平道路。
