摘    要:企业的所有权和经营权分离后,职业经理人便应运而生.职业经理人既是企业形象的维护者,又是企业内部的组织协调者;既是企业与外界环境的联络者,又是企业高层决策的参与者,他们以其决策和创新能力激活并保持着企业生命力,成为经济不断发展的内在动力.在信息不对称情况下采用怎样的激励措施,才能使职业经理人充分发挥其才能、实现企业目标是企业所有者关注的热点.对职业经理人概念给出了界定,并运用委托代理理论讨论了职业经理人激励机制,得出了最优的激励系数和相关结论.
