| 摘 要： | 在现行立法中,劳务由于存在超额评估等因素不能成为股东向公司出资的形式。但劳务资本出资在许多国家已经制度化,在我国经济领域也已然占据相当的地位。我们与其让劳务出资走在法律的灰色地带,还不如尝试克服劳务资本先天的特性缺陷,构建适当的配套制度,让它回归到阳光下,适应时代的发展需要。

| Abstract: | In the current legislation, labor can＇t be shareholders in the form of capital contribution to the company because of excess assessment. However, the labor capital contribution in many countries have been institutionalized. And it plays an important role in Chinese economy. Compared with putting the labor investment in the grey zone, it＇s better for us to overcome labor capital innate characteristic defects and construct appropriate supporting system. We will make it openly, and adapt to the development of the times need. |
