| 摘 要： | 上市公司郑百文在重组过程中，为使公司流通股股东所持股份的50％能够无偿过户到三联集团名下，在其召开的临时股东大会上通过了修改公司章程的议案。在章程中增加一款“股东大会在作出某项重大决议，需要每一股东表态时，同意的股东可采用默示的意思表示方式，反对的股东需作出明示的意思表示”。本文从现行法律规定和法理两个角度对这一条款进行了分析，最后得出其于法无据、于理不合的结论。 |

| Abstract: | The Zhenbaiwen corporation whose stock is exchanged in the bourse.In its reorganisation ,for the aim of success of reorganisation with the Sanlian cor.,they add an article to their constitution .The author of the article analyse that article from the acedemic and the law,then point that article is not illeagal. |
