我国上市公司MBO的运用及完善

摘    要:管理层收购(MBO)是企业并购的一种收购方式,它对完善管理层激励机制有积极作用。《上市公司收购管理办法》的颁布实施,大大推动着MBO移植中国的进程。但对照管理层收购的理论和实务,可以发现我国上市公司在运用MBO如过程中存在着宏观、微观两个层面上的问题,亟需采取恰当策略、措施予以完善。

Abstract:MBO is a means of merging enterprises. It plays a positive role in perfecting the incentive mechanism of the management. The promulgation of Regulations Governing the Purchase of Public Companies greatly promotes the process of the introduction of MBO to China. But by the theory and practice of MBO, problems on both the macro and micro levels can be found in the application of MBO in China's public companies. Urgent copying strategies and measures are required to perfect it.
