风险资本家的委托人职能:选项、签约和监管

近年来，关于风险资本在高技术企业发展中的重要作用的认识，似乎巳成为国内学界和业界的共识。但是，对于风险资本特别是风险资本家究竞是如何发挥其作用的问题，在国内却限于缺乏经验而鲜有深入、细致的研究。为弥补这一缺憾，本文将从作为委托人的风险资本家对其投资项目所作的选项、签约和监管的角度，对国外在这三方面的研究做一个全面的综述，以供国内研究者参考。

The function of venture capitalists as principals:screening,contracting,and monitoring——A survey of the theoretical and empirical studies

Nowadays, there is a broad consensus in our country on the important role that venture capital plays in the development of high-technology start-up firms. But perhaps due to the lack of relevant experience, the study on how the venture capitalists actually function is very rare in the country. To fill in the gaps, this paper tries to make a comprehensive survey of various theoretical and empirical studies from abroad from the view of venture capitalists as principals, i.e. their function in screening, contracting and monitoring.
