| 摘 要： | 定金和订金都是基于防止合同不能履行之目的而在合同中频繁出现。两者仅一字之差,但有着极大的区别,由于当事人并非都通晓法律,故易出现争议。为避免这种情况,本文在对定金和订金之概念、属性进行分析的基础上,总结了两者的区别,并提出了缔约中应如何应用的一般对策。

| Abstract: | Earnest money and deposit can both be used to bind a contract or bargain.Controversy may occurs when the two term are misinterpreted due to the low law literacy.To avoid such situations,the paper sums up the differences on the basis of analysis of the conception and attributes of earnest money and deposit,and then proposes the general countermeasures on how to apply them to contracting. |
