| 摘 要： | 优先购股权激励作为一种在国外企业渐已通行、并被证明是较为有效的激励制度，倍受国内企业界、学术界关注。优先购股权制作为一种解决长期激励问题的有效机制，可以为国企经营者有效激励提供借鉴。购股权激励并非能够单独发挥作用，而是需要一个良好的运行环境，优先购股权在我们国家发挥其内在激励效果还有许多工作要做。

An Analysis of the System Barriers to Implementing ESO in State- run Enterprises |
