| 摘 要： | 公司法传统理论对于公司属性的研究存在不同学说,但这些学说都存在着固有缺陷,或者分析浅尝辄止,或者对不同种类的公司进行"一刀切"研究。本文从公司的物理属性和公司结构两方面对公司属性重新进行思考,并以新公司法为视角进行实例分析,考量新公司法在这方面的得失。
