| 摘 要： | 为了提高上市公司的治理水准,中国证监会决定借鉴经济合作与发展组织(OECD)公司治理原则,在我国近1200家上市公司和1600家拟上市公司中,推行独立董事制度。如何进一步完善我国上市公司独立董事制度,兴利除弊,真正发挥独立董事的作用,本文试图在此问题上作些探索和思考。
