| 摘 要： | 债权人代位权制度是我国新合同法的一大进步．它对于保障债权人债权的实现起着非常重要的作用，依据代位权的相关理论．应当正确理解我国债权人的代位权制度及其客体、构成要件、性质、行使效力等．肯定我国代位权制度的进步意义并分析其不足．从而提出将来我国代位权制度的发展方向。
