谈中小股东利益保护的完善

我国目前股市上大量存在着控股股东利用其对公司的控制权获的正常秩序，影响到社会经济目标的实现，已引起社会各界的广为关注。但就目前而言，行业规制及法律救济都不足以保护中小股东的权益不受控股股东的侵害。

It is common that controlling shareholders abuse controlling power to damage the profit of the minority shareholders in current Chinese stock market. This situation will do much harm to the market order and hinder the social and economical purpose of our country from accomplishment, which has caused great care. But now administrations of trades and professions and legal remedy cannot protect fully the profit of the minority shareholders from damage of controlling shareholders. The author talk about the shortages of current measures of safeguard, and suggest to restrict controlling shareholders' right to vote and strengthen corporate board of supervisors, as well as the author question the independent director system.
