国有独资企业如何构建董事会

建立现代企业制度，完善法人治理结构是国有独资企业改革的方向。但是，国有独资企业只存在唯一的国有股股东，由国资委作为出资人代表行使股东权力，而国资委又是国务院的特设机构，其身份相对特殊。在考虑这些特殊性的前提下，如何深化国有独资企业的改革、建立董事会制度将是一项开创性的工作。文章分析了国有独资企业治理结构现状，提出了关于董事会设计框架的基本构想，并且强调形成董事会的权利制衡机制，从而提高董事会决策的科学性。

Establishment of the Board in the Entire State-owned Enterprise (SOE)

Establishing the modern enterprise system and perfecting the corporate governance structure heads the way to the reform of the entire State - owned enterprise. However, single shareholder only owns this kind of enterprise and the state - owned assets supervision and administration commission , as one of the government branches and under the control of the state council, is the institution which substitute for SOE to apply the rights. So it＇s identity is relatively special. In consideration of this shareholder＇s particularity with double roles, how to deepen the SOE~ reform and establish the board of directors has become an initiative issue. This essay analyses the current situation of the entire SOE＇s governance structure and designs the frames of the board of directors so as to balance the board＇s power distribution and increase the scientific degree of its decision.
