| 摘 要： | 虽然我国新的公司法开始实施,但作为上市公司治理的一项重要的法律制度,我国的独立董事制度建设依然还有很远的路要走,通过介绍美国独立董事制度的特色和可供我国借鉴之处,对我国的独立董事制度的建设和完善提出了一些建议。
