| 摘 要： | 我国民营上市公司具有“一股独大”、家族控股、股权分置等显著的股权结构特征。在这种股权结构下，易于出现大股东及家族成员过多干预企业的经营管理、侵害中小股东利益等公司治理方面的问题。优化股权结构、加强独立董事制度建设等治理措施的实施，将会进一步促进民营上市企业的健康发展。

| Abstract: | The equity structure of Chinese private listed enterprises has following characteristics: absolute control by one shareholder,family holding and nontradable shares,which easily cause the problems such as large shareholders and family holder overly intervening management of enterprises and harming the benefits of middle and small shareholders.By analyzing such characteristics and their causes and effects,the paper brings forward a series of methods to improve corporate governance of listed private enterprise,including optimizing equity structure,improving independence director system,etc. |
