| 摘 要： | 证券民事责任是指在证券发行交易过程中违反证券法律法规而承担的民事法律后果。证券民事责任具有填补损害的补偿功能、吓阻违法的预防功能、完善证券市场的监管功能和救济私权的司法功能。其中填补损害的补偿功能是最基本的功能。其他三种功能必须以补偿功能为媒介或前提才能发挥作用。

| Abstract: | The securities civil liability is the liability in the securities law during the issuing and trading .It has four functions: the compensating function of making up the damage, the preventing function of intimidating illegal act, the supervising function of consummating the securities market and the judicature function of relieving the civil rights. The compensating function is the most basic in these functions. |
