| 摘 要： | 超越经营范围所订立合同的效力应如何认定?本文分析了国内外相关法律制度并介绍了法学界关于此类问题的诸学说，认为法学界关于此类问题的诸学说均有合理之处也都不尽完善，应当认定超越经营范围所订立的合同为可撤销合同。

| Abstract: | How to confirm the validity of the contract beyond one's managing confine is a problem in the contract law. This paper analyses the related regulations all over the world and introduces various theories on this issue. The author thinks those theories are rational in some way but perfect. The contract that beyond one's managing confine should be classified in the contracts that can be revoked or changed. |
