| 摘 要： | 现代反垄断法的规制对象主要包括三大类:联合限制竞争行为、滥用支配性地位行为和企业合并行为。合并控制的实体标准是合并控制制度的核心,从根本上决定一项合并行为是否违法,也反映出一国合并控制制度的严厉与宽容。欧盟作为当今世界合并控制制度最发达的地区之一,其合并控制的实体标准先后经历了三次变革,反映了欧盟在经济形势变化下的立法和政策演变的价值取向。本文从欧盟合并控制的实体标准的沿革入手,分析其合并控制标准变化的原因,并对完善我国经营者集中的实体标准提供借鉴。
