公司股东除名法律问题研究

妥善处理公司内部冲突是公司法的一项基本功能。股东除名制度作为一项司法解散的替代制度,对于解决公司内部冲突,维护公司作为一种实体的持续存在具有不可替代的作用,因此受到国外很多国家的青睐,已成为解决公司股东内部冲突的一项必不可少的制度。然而,我国现行公司法却没有对该制度进行规定,当股东无正当理由不履行自己对公司的义务,严重损害了公司的利益及公司其他大多数股东的利益时,其他股东除了要求其履行义务,承担损害赔偿责任外,并没有其他有效的救济途径。当公司出现僵局时,往往通过解散公司的方式来解决,这对希望公司继续存续的股东来说,显然不是最好的选择,也不能实现公司设立的初衷,更是对资源的一种浪费,因此,确立股东除名制度就成为现实的需要。回应此需要,本文从理论上的可行性和现实中的必要性对股东除名制度进行了分析,并提出了构建我国公司股东除名制度的设想,以期对未来公司立法有所助益。

The System of Expulsion of Shareholdrs in a Company

It is a basic function of corporation law to handle the company’s internal conflicts proper-ly.The system of expulsion of shareholders,which is a replacement system of judicial s dissolution,plays an irreplaceable role in solving the internal conflicts and maintaining the company as an entity,as a result of which,many countries all around the world adopt the system of expulsion as a important part of their corporation laws.However,our corporation law doesn’t have relevant regulation about this.Consequently,when shareholders of company do not perform his obligations without justifiable reasons and do damage to the interests of the company and the most other shareholders,other shareholders do not have effective ways to handle this situation.When a corporate deadlock happen,the other shareholders usually have to dissolve the company,which is apparently not the best choice and betray the aim of a company and is also a waste of resources;therefore,there is a need to build the system of expulsion.Respond to the need,this article analyze the necessity and feasibility of the system of expulsion and puts forward our thoughts about the system in order to do good to the company legislation in the neat future.
