我国证券内幕交易规则的立法现状和前瞻

我国证券内幕交易规则的立法现状，不足之处主要在于对内幕人中的界定不全面、对内幕信息的界定不够准确、对内幕交易行为的规定过于原则、对内幕交易所承担的法律责任的规定缺乏操作性，且处罚力度不够以及证监机构难以适应反内幕交易的需要等几方面，通过对当今国际制裁内幕交易法律规则的比较和借鉴，提出应建立我国自己的内幕交易归责理论，在法律中进一步明确界定内幕人员、内幕信息和内幕交易行为方式，提高相关法规的操作性并加大处罚力度，同时成立专门的反内幕交易机构以加强制裁。

The Status and the Future of Legislation for the Rule of Prohibiting Securities Insider Trading in China

This thesis analyses the status of legislation for the rule of prohibiting securities insider trading in China and points out its main deficiency, suggests that we should define insiders, inside information and manners of insider trading more clearly, improve related rules and make it more enforceable and increase the severity of punishment, set up a specialized institution to apply sanctions against the insider trading. In this thesis, also presents a method to calculate the damages for civil liabilities and crime quota for criminal liabilities.
