| 摘 要： | 安全、公平、效率是公司资本制度的基本价值追求。发达国家公司法对资本制度的不同规定,体现了不同的价值取向。我国公司法应该适应国际资本制度变革发展趋势,在维护安全和促进效率间寻求较好的平衡。

| Abstract: | Safety,equity and efficiency are the three basic value pursuits of Company Capital System.Different countries stipulate their company law differently to the Capital System.So the law presents the three basic value pursuits respectively.The company law of our country should adapt the development trend of the reforming capital system and keep the balance between maintaining the safety and improving the efficiency to companies. |
