从刑法分则条文入手，比较了刑法学界对公司，企业人员受贿罪概念的表述失误，本罪概念必须明确主体-公司，企业中的非国家工作人员，并界定了本罪的概念，由此分析了本罪的特征，对比了关于本罪客体的不同观点，阐述了本罪的索贿，受贿这两种行为方式；三个必备条件即利用职务上的便利，为他人谋取利益，数额较大，同时，还指出了本罪的立法缺陷，并提出了明定数额等立法建议。

Analyse the Crime of Accepting Bribes about Compales or Enterprises' Personnel

Starting with the items of the criminal code , this article compares several wrong expression of the crime of accepting bribes about companies or enterprises' personnel in criminal theory. There ought to be clear and definite main body in the crime's concept--non state staff members in the companies or enterprises,and defines the crime. Furthermore, this article alalyses the features of the crime,constrasts with different views about the crime's objective, expresses some objective elements of the crime, elaborates two ways of behaviour--demanding bribes and illegal accepting bribes, three conditions possessed necessarily--exploiting position facilities,pursuing benefit for others,major quantities. At the same time,the article points out several legislative shortcomings about the crime, and offers some legislative suggestion, such as fixing clear and definite quantity etc.
