民营企业并购国有企业中的问题及对策

民营企业并购或重组国有企业已成为我国国有企业改革的一个有效途径。然而,民营企业在并购国有企业中,存在着观念滞后、准备不足、人资难以分离、法律体系不健全、政策上有歧视现象等问题。因此,加深对民营经济的地位和国有企业改革作用的认识、营造民营企业并购国有企业的“软、硬”环境、培育产权交易市场、提高企业内部管理水平、做到人资分离、强化资源整合,是做好民营企业并购国有企业的关键。

Thought on the Problem of Civilian-Run Enterprises Merging into stated-owned Enterprises

Civilian-run enterprises merging into state-owned enterprises or the reconstruction of the state-owned enterprises has become an effective channel of making the reform more alive and effective.However,during the process of this merging in and reconstruction,there exist many problems such as lag in notion,unsuffient preparation unseperated situation between people and capital,imperfect law system,discrimination in policies.Therefore,the status and role of civilian-run enterprises need to be deeply strengthened,"soft and hard" exchange market need to be set up.Property-mid market need to be developed.Managing ability inside the enterprises need to be promoted,people and capital should be separated.Resources reform should be strengthened.All of these above contribute to civilian-run enterprises merging and requiring state-owned ones.
