| 摘 要： | 从商法的角度考察公司法，公司组织是一种自治性的组织，法律责任发挥作用的方式具有事后性的特征，即先让市场机制自身的约束起作用，法律责任的约束只在市场机制的约束无效时介入。具体到公司设立阶级，公司设立责任主要是一种设立的责任。
