| 摘 要： | 机构投资者在国有公司治理结构之中发挥建设性作用的前提是其本身必须具有完全的经营自主权与彻底的企业性质,但在政府主导了整个社会资源配置的制度约束之下,机构投资者只能依附于政府,根本不可能对行政权力以多种手段干预国有企业而对损害企业利益的经营活动进行有效的监督。

| Abstract: | The enterprises must have self-determination and completed nature,if the investor plans to play an active role in corporate governance of state-owned enterprises.However,the investor could not resist the bad influences from government on corporate governance of state-owned enterprises if government controls all the resources. |
