| 摘 要： | 本通过实例和对比分析的方法，介绍了美国和我国独立董事制度的运用状况，分析了目前我国独立董事制度的不足，并就建立和完善我国独立董事制度提出了以下的对策；加快国有股坚持步伐，促使股权分散化；明确独立董事的职责与权限，不断扩大独立董事在董事会中所占的比例；明确独立董事的任免条件和薪酬激励方式；搞好对独立董事的监督，防治独立董事与内部人勾结。

| Abstract: | This paper introduces the present status of independent director institution's application in China,through many examples and contrasts. We point out the actual shortage about this problem ,and put forward some countermeasures to establish and consummate our country's independent director institution such as expedite stock's decentralization and increase independent directors' percentage in directorate . |
