论控制股东义务体系的建构

英美法系运用信托法原理,通过判例确立了控制股东的义务;大陆法系运用私法的基本原则,通过法解释确立了控制股东的义务。建构我国控制股东义务体系,应当以大陆法系的概念逻辑体系为前提,吸收英美法系先进的理念。控制股东基于表决权或影响力,而对公司、其他股东和债权人负有义务。应完善控制股东违反义务的救济,并提供预防措施。

On the Construction of the System of Duty about Holding Shareholders

In Anglo-American Law,the duty of holding shareholder is achieved according to trust law in case,while the duty of holding shareholder is achieved through law analysis according to the basic principle of private law.The system of duty about holding shareholder in China should absorb the advanced concept of Anglo-American Law and obey the definitional logic system.Holding shareholders afford the duty to firms,other shareholders and creditors according to the voting right and influence.The preventing actions and the remedy which holding shareholders breach the duty should be perfected.
